1. Who you are contracting with
These terms are an agreement between you and Drawra Inc (“Drawra”, “we”, “us”), the provider of the Drawra pay application software available at drawra.com. By creating an account or continuing to use the service you agree to these terms. If you use Drawra on behalf of a company, you confirm you have authority to bind that company; if you use it as an individual, you confirm you are of legal age.
2. The service
Drawra reads construction contracts you upload, sets up a project and schedule of values, and generates billing packages — invoices, AIA-style G702/G703 pay applications and lien waivers — from the completion percentages you enter. Drawra is document preparation software. It is not a law firm, and nothing it produces is legal, accounting or tax advice. You are responsible for reviewing every document before you send it and for confirming it meets your contract and the requirements of your state.
3. Your account
You must provide accurate information and keep it current. You are responsible for keeping your credentials confidential and for all activity under your account.
4. Acceptable use
You must not:
- use Drawra for any unlawful purpose, or to commit fraud or send spam;
- upload content that infringes anyone's intellectual property or privacy rights;
- interfere with the security or integrity of the service — no malware, probing, scanning, scraping or circumventing technical limits;
- reverse engineer, resell or redistribute the service.
5. Intellectual property
We retain all ownership of the service, including its software, document templates, documentation and branding. You receive a limited, non-exclusive, non-transferable right to use the service under your current plan. You keep ownership of the contracts, project data and documents you upload or generate; you grant us a limited licence to host and process that content solely to provide the service to you.
6. Payment and subscriptions
Your first pay application is free, once per account. After that you may either purchase individual pay applications or subscribe for unlimited use, billed monthly in advance until cancelled. Purchased pay applications do not expire; they are consumed when a pay application is created and are not returned if you delete it. Prices are shown at checkout and exclude any tax that may apply.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms, together with our refund policy.
7. Service level and warranties
We work to keep Drawra available and accurate, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
8. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect, consequential or special damages, including lost profits, lost payments, lost data or loss of goodwill. Nothing here excludes liability for fraud, death or personal injury where the law does not permit exclusion.
9. Indemnity
You will indemnify us against claims arising from the content you upload, your unlawful use of the service, or your breach of these terms.
10. Suspension and termination
We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using Drawra at any time and cancel a subscription through the billing portal. After termination you will have a reasonable period to export your documents, after which your data may be deleted.
11. General
You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of the state in which Drawra Inc is established, and the courts of that state have exclusive jurisdiction.
